Terms of Service

These terms govern your use of the Graft mobile application ("the App"), operated by Sam Barrett ("we", "our", "us"), a sole trader registered in England.
By creating an account, you agree to these terms. If you do not agree, do not use the App.
1. What Graft Provides
Graft is a job management and tax compliance app for UK sole trader tradespeople. The App allows you to:
- Create and manage jobs, quotes, and invoices
- Track time, materials, expenses, and mileage
- Generate and send professional PDF quotes and invoices
- Connect to HMRC via Government Gateway to submit quarterly Making Tax Digital (MTD) returns
- Scan receipts using AI for automatic data extraction
- Manage clients, subcontractors, and job phases
2. Not Tax Advice
Graft is not a substitute for professional tax, legal, or accounting advice.
- We are not accountants, tax advisors, or financial professionals.
- The App calculates income, expenses, and profit figures based on the data you enter. These figures are only as accurate as the data you provide.
- You are solely responsible for the accuracy and completeness of any figures submitted to HMRC through the App.
- We strongly recommend consulting a qualified accountant or tax advisor for complex tax situations.
- We accept no liability for penalties, fines, or other consequences arising from inaccurate HMRC submissions made through the App.
3. Your Responsibilities
By using Graft, you agree to:
- Provide accurate and truthful information (including your NI number and UTR)
- Keep your account credentials secure and not share them
- Review all figures before submitting to HMRC — the "Submit" action is final
- Maintain your own records as required by UK tax law (minimum 5 years)
- Use the App only for lawful business purposes
- Not attempt to access other users' data or interfere with the App's operation
4. HMRC Connection
- When you connect to HMRC, you authorise Graft to submit quarterly income and expense updates on your behalf via HMRC's Making Tax Digital API.
- We submit only: your total income, total expenses, and National Insurance number for each quarter.
- We do not submit individual job details, client information, or receipts to HMRC.
- You can disconnect from HMRC at any time in Settings.
- We store your HMRC OAuth tokens securely on our server (encrypted at rest). They are never stored on your device.
- Your Government Gateway username and password never pass through the App — you authenticate directly with HMRC in your browser.
5. Subscriptions and Billing
- Graft offers a free trial (30 days) and paid subscription plans (monthly or annual).
- Subscriptions are processed by Apple (App Store) or Google (Play Store). We do not directly process your payment information.
- Prices are displayed in the App and on the App Store / Play Store. Current pricing: £6.99/month or £59.99/year.
- Subscriptions auto-renew unless cancelled at least 24 hours before the end of the current period.
- You can manage or cancel your subscription in your device's Settings (iOS: Settings > Apple ID > Subscriptions; Android: Play Store > Subscriptions).
- No refunds are provided for partial subscription periods, except as required by applicable law or the App Store / Play Store refund policy.
- Free trial features are limited. Some features (HMRC submission, unlimited jobs, AI receipt scanning) require a Pro subscription.
6. Data and Privacy
Your data is handled in accordance with our Privacy Policy. Key points:
- All data is stored in the UK (London region) and encrypted at rest.
- We do not sell your data or use it for advertising.
- You can export your data at any time (Settings > Export).
- You can delete your account and all associated data at any time (Settings > Delete Account).
7. Intellectual Property
- The Graft app, its design, code, and branding are owned by Sam Barrett.
- Your data (jobs, invoices, photos, etc.) remains yours. We do not claim ownership of your content.
- You grant us a limited licence to process your data solely for the purpose of providing the service.
8. Limitation of Liability
- The App is provided "as is" without warranties of any kind, express or implied.
- We do not guarantee that the App will be error-free, uninterrupted, or that HMRC submissions will always succeed.
- We are not liable for any loss of data, revenue, or profits arising from your use of the App.
- We are not liable for any penalties or consequences from HMRC arising from submissions made through the App.
- Our total liability to you is limited to the amount you paid for the App in the 12 months preceding the claim.
- Nothing in these terms excludes or limits liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded by law.
9. Service Availability
- We aim to keep the App available at all times but cannot guarantee 100% uptime.
- We may perform maintenance or updates that temporarily affect availability.
- HMRC API availability is outside our control. If HMRC's systems are down, submissions may fail.
- The App includes offline functionality for core features (job creation, expense logging). Data syncs when connectivity returns.
10. Account Termination
- You may delete your account at any time. All data will be permanently removed.
- We may suspend or terminate your account if you violate these terms or use the App for unlawful purposes.
- On termination, your right to use the App ceases immediately.
11. Changes to These Terms
We may update these terms from time to time. Significant changes will be notified via the App or email. Continued use after changes constitutes acceptance.
12. Governing Law
These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
